Terms of Service

Acceptance
By creating an account or using the PearlAudit platform (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to both you and that organization.
If you do not agree to these Terms, do not use the Service.
The Service
PearlAudit provides a property intelligence platform that aggregates and presents publicly available New York City municipal data — including zoning, building characteristics, flood risk, and air rights — in structured dossier format. The Service is intended for use by licensed real estate professionals, investors, attorneys, consultants, and other commercial real estate industry participants.
PearlAudit is not a licensed real estate broker, appraiser, attorney, or financial advisor. The Service provides data and analysis tools; it does not constitute professional advice of any kind. See the “Disclaimer of Warranties” section below.
Accounts & Access
You must create an account to access the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You must provide accurate information when creating your account and keep it up-to-date. Accounts are for your individual or organizational use only and may not be shared with or transferred to third parties outside your organization without our written consent.
You must be at least 18 years of age to use the Service.
Permitted Use
You may use the Service for lawful professional purposes. You may not:
- Reproduce, resell, or redistribute dossier content as a standalone data product without our written consent
- Use automated scripts, bots, or crawlers to extract data from the platform in bulk, except through authorized Enterprise integrations
- Attempt to reverse-engineer, decompile, or interfere with the technical operation of the Service
- Use the Service to harass, stalk, or facilitate unlawful surveillance of individuals
- Misrepresent PearlAudit data as your own proprietary research without appropriate attribution
Dossiers may be shared with clients, colleagues, lenders, and counterparties in the ordinary course of professional real estate transactions.
Subscriptions & Payment
Access to the Service requires a paid subscription. Subscriptions are billed monthly or annually in advance. All fees are stated in US dollars and are non-refundable except as required by law.
If payment fails, your account may be downgraded or suspended after a grace period. We will notify you by email before taking any action. You remain responsible for all unpaid fees accrued before suspension.
We reserve the right to change subscription pricing with 30 days’ notice. Price changes do not apply to the current billing cycle.
Data Sources & Accuracy
The Service aggregates data from publicly available NYC municipal records and federal flood data. These datasets are maintained by government agencies and are updated on their respective schedules.
PearlAudit does not originate, verify, or warrant the accuracy of underlying municipal data. Errors, omissions, or delays in source data will be reflected in dossiers. All dossiers include a “Data as of” timestamp indicating the vintage of the underlying dataset.
You are solely responsible for independently verifying any data before relying on it for acquisition decisions, loan underwriting, legal proceedings, or any other consequential purpose.
Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PEARLAUDIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
PEARLAUDIT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM DATA INACCURACIES. PROPERTY DATA OBTAINED THROUGH THE SERVICE SHOULD NOT BE TREATED AS A SUBSTITUTE FOR TITLE SEARCH, SURVEY, APPRAISAL, ENVIRONMENTAL ASSESSMENT, LEGAL REVIEW, OR OTHER PROFESSIONAL DUE DILIGENCE.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PEARLAUDIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
PEARLAUDIT’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).
Intellectual Property
The PearlAudit platform, including its software, design, and compiled dossier format, is owned by PearlAudit and protected by copyright and other intellectual property laws. These Terms do not grant you any ownership interest in the Service.
The underlying municipal data surfaced by the Service is in the public domain. PearlAudit’s compilation, presentation, and analysis layer is proprietary.
Termination
You may cancel your account at any time from your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.
We may suspend or terminate your account for violation of these Terms, non-payment, or conduct that we determine in our reasonable discretion poses a risk to the Service or other users. We will provide notice where reasonably practicable.
Sections of these Terms that by their nature should survive termination — including Disclaimer of Warranties, Limitation of Liability, and Governing Law — shall survive.
Governing Law & Disputes
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.
Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email to the address on your account at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
